The SEC declares Agility Robotics' merger filing effective, putting the humanoid maker's Nasdaq listing to a shareholder vote on 2 November
The deal with the blank-cheque company Churchill Capital Corp XI is expected to raise more than $620m gross, about $200m of it from a share placement led by Foxconn.
Agility Robotics, which makes Digit, a two-legged humanoid that moves totes in warehouses and factories, said on 13 October that the US Securities and Exchange Commission had declared effective the Form S-4 registration statement filed with Churchill Capital Corp XI, a blank-cheque company listed on Nasdaq as CCXI. That clears the SEC step before the merger that would make Agility a listed company.
Churchill XI's Form 8-K, dated 13 October, gives the file number 333-298781 and sets an extraordinary general meeting for 2 November 2026 at 9:00 a.m. Eastern Time, with a record date of 14 September. Agility's release says the deal is expected to close in November 2026, subject to shareholder approval and other conditions, and that the combined company is expected to trade on Nasdaq as AGLT.
The release says the deal is expected to bring in more than $620m gross: about $424m from Churchill XI's trust account, assuming no shareholder redemptions, and “approximately $200 million of incremental capital through a common stock PIPE led by Foxconn.” Redemptions could cut the trust figure. The release gives no valuation.
The vote on 2 November is the next step to watch, along with how many Churchill XI shareholders redeem their shares before it. No company official is quoted in the release.
