Anthropic commits 5% of its shares to a new Public Benefit Fund, subject to stockholder approval, with 2% more for every 50% rise in its value

The fund is a wholly owned LLC, not a charity, and Anthropic says none of its equity will pay for lobbying or political giving. It puts no dollar value on the stake.

Why it matters: Anthropic is heading for a stock-market listing, and this sets a fixed and potentially growing slice of its equity aside for public purposes, walled off from lobbying. How big it gets depends on a value baseline the company has not yet published.

Anthropic said on Sunday 18 October that it is setting up the Anthropic Public Benefit Fund, a new wholly owned LLC, and putting part of its own shares into it. “Subject to stockholder approval, 5% of Anthropic's shares will be committed today,” its post says, “with an additional 2% added at the board's discretion for every 50% increase in the company's value above a set baseline.” The post does not give the baseline.

Anthropic says the structure gives it more room than a conventional foundation: it could make large gifts to traditional nonprofits or pay money directly to particular groups of people, and it gives AI's effect on jobs as an example, pointing to a $200 million commitment it made earlier to studying that effect. “None of the Anthropic equity held by the LLC will be used for lobbying or political giving, in the US or abroad,” the post says.

The fund builds on the co-founders' pledge to give away 80% of their equity and on a staff donation match. Anthropic says that, with today's commitment added, roughly 20% of its shares will be dedicated to the public good. That is the company's own claim, and the post puts no dollar value on the 5%. The structure and governance details are to follow “in the coming months”.

The post does not mention Anthropic's planned listing. The Switchboard reported on 17 October that the staff charity match had cost more than $660m, according to The Information; this is a separate, new commitment. TechCrunch, reporting the fund, set it against public distrust of AI.
